Mory refered directors as member of the board, officers as Exec level officers. The director I meant is working, employee director. SOme cos in the Si Val repriced options only for employees below director levels. Some other cos when repricing option resets the vesting period to zero again so that employees have to work for another 4 yrs to become fully vested thereby tying them if they elect to have their options repriced.
