I'm not an expert here, but they are both US companies, so I think the antitrust laws apply even though the chips are used in another country. But as John Rieman says, why buy the business when it will be yours for free pretty soon? Besides, VCD is a diminishing revenue source as teh market becomes saturated and consumers migrate to DVD. It may be around for a while longer, but it won't be a huge part of CUBE's bottom line.
