You are not missing anything. Dilution is a tricky word that is often misunderstood. AAPC is going from 13,000,000 outstanding to 20,000,000 so there is dilution in that sense. However, the revenue from the additional shares will be used for acquisitions in progress. If the income provided from the acquired companies is high enough, there may be no real dilution. In any event, this is not the poitn here. What matters is that shares of AAPC should be trading for 14-16 on the day of the offering or whatever McDonaald & Company, Wheat First and the company determing the fair value of the stock is.
