got this proxy notice yesterday;

special meeting ....to consider and vote upon a proposal to approve
the potential issuance of 20% or more of the Company's outstanding
common stock at a price less than the market value of the common
stock(upon the conversion of convertible preferred stock issued by
theCompany)..........
