Gridware's Resource Management Software Increases Efficiency And

Productivity in Compute-Intensive Technical Computing Environments

PALO ALTO, Calif., July 24 /PRNewswire/ -- Sun Microsystems, Inc. (Nasdaq: SUNW), today announced the signing of a definitive agreement to acquire Gridware, Inc., a privately owned commercial vendor of advanced computing resource management software with offices in San Jose, Calif., and Regensburg, Germany. The acquisition is subject to customary closing conditions and is expected to be completed by the end of July 2000.

Gridware develops resource management software used primarily in compute-intensive, technical computing environments, such as electronic design automation (EDA), mechanical computer aided design/engineering (MCAD/MCAE) and software development. Its products, CODINE and GRD, are deployed to optimize utilization on workstations, servers and dedicated compute farms like the recently announced Sun(TM) Technical Compute Farm (Sun TCF). Current Albert clients include Cisco Systems, the U.S. Army and IBM.

Resource management software enables organizations to make efficient use of all their computing resources, and align that usage with the goals and priorities of the different projects and groups sharing the resources. When combined with Sun's industry-leading Solaris(TM) Operating Environment, Gridware software will help Sun's customers reduce their costs while delivering products to market in less time.

Through this acquisition, Sun intends to further develop the computing resource management technology and move it into the mainstream of technical computing. Following the close of the acquisition, Gridware software will begin to be included with Sun TCF, providing customers with a complete compute farm solution.

The acquisition calls for Gridware and its products to be fully integrated into Sun Microsystems. Sun will honor commitments that have been made to existing Gridware customers. Products will continue to be sold and supported by Gridware as usual during the transition. In the future, products will be made available through Sun's normal channels and will be supported by Sun's Enterprise Services.
