According to Dow-Jones, Digital would use its plant to continue to produce StrongARM. The real problem is structuring the deal so that Intel's share of the Windows NT server market will not be further increased, i.e. this deal depends on FTC and DoJ concluding that the acquisition would not "substantially lessen competition or tend to create a monopoly" in any part of conmerce in any part of the country. I expect this deal to be first investigated and then injoined.
