Acquisition will put audiohighway.com in the music e-commerce business
CUPERTINO, Calif.--(BUSINESS WIRE)--April 14, 1999--audiohighway.com (Nasdaq: AHWY - news), an Internet-based information and entertainment company, Wednesday announced it has entered into an agreement to purchase substantially all of the assets of Mass Music, an online music retailer, subject to shareholder approval, for approximately 36,000 shares of common stock and $200,000 in cash.
Visitors to the Mass Music Web site (http://www.massmusic.com) can search for music selections from the libraries of music publishers and recording labels from around the world.
Mass Music offers hundreds of thousands of titles from more than 300 categories and genres. Mass Music also sells movies, magazines and various music accessories online, as well as providing a free music industry newsletter.
According to audiohighway.com President and CEO, Nathan Schulhof, acquisition of Mass Music will allow audiohighway.com to enter directly into the online retail music business.
''Mass Music is an excellent e-commerce complement to what we've already created at audiohighway.com,'' Schulhof said. ''We already have one of the largest and most diverse libraries of free audio selections on the Internet. Now we're adding to that an established e-commerce music site, which is a natural next step in expanding our audio presence on the Internet.
''In addition, combining the Mass Music customer base with the audiohighway.com customer base will provide us with new sales and marketing opportunities. Naturally, we're very excited about the possibilities this acquisition opens up for our customers, advertisers, partners and shareholders.''
As part of the acquisition, audiohighway.com has begun a redesign of the Mass Music Web site, which is expected to be completed within 90 days and maintained as a separate online presence. Both sites will then be linked with one another, providing what is anticipated will be a more robust music and Internet audio experience for visitors to either site.
Today's announcement was made in connection with Spring Internet World '99, which is being held April 14-16 in Los Angeles and is one of the largest trade shows in the U.S. for Internet companies.
Schulhof and several other audiohighway.com employees will showcase both audiohighway.com and Mass Music tonight at internet:press where they anticipate meeting with more than 100 journalists from industry, business, financial and consumer media.
internet:press is one of the top press receptions held in conjunction with Spring Internet World. Tonight's media event will be held from 5:30 p.m. to 8:30 p.m. (PT) in the revolving restaurant located on the top floor of the Transamerica Tower and situated a few blocks from the Los Angeles Convention Center, site of Spring Internet World.
