AT&T, Comcast poised to sign agreement

NEW YORK, Sept 27 (Reuters) - AT&T Corp (NYSE:T - news) and Comcast Corp. (NasdaqNM:CMCSK - news) have nearly finalized a confidentiality agreement that would permit negotiations on a takeover of AT&T Broadband nearly three months after Comcast offered nearly $37 billion to buy the unit, sources familiar with the situation said on Thursday.

Lawyers from both sides are hammering out the final details of the agreement, which would permit Comcast to conduct due diligence on AT&T Broadband's financial books for the first time, the sources said. But the two sides have not arranged for any face-to-face negotiations, which likely is still weeks away, the sources cautioned.

AT&T and Comcast decline to comment.

Comcast made an unsolicited offer in July to buy the No. 1 U.S. cable television provider from AT&T in an all-stock deal originally valued at $44. 5 billion plus the assumption of $13.5 billion in debt.

AT&T rejected the offer and has since entered preliminary discussions with a number of potential suitors, including AOL Time Warner (NYSE:AOL - news), Cox Communications (NYSE:COX - news) and Walt Disney Co. (NYSE:DIS - news), about selling or spinning the unit off.
