VANCOUVER, BC--(BUSINESS WIRE)--March 16, 2000--Ultimate Direct
(OTC-BB: ULTC) announced today a join venture project between Red Hot
Connect and Ma and Pa Retailers.com. Ma and Pa Retailers.com is an on-line
magazine targeting the North American independent retailer, a strong target
market for Red Hot Connect.

The agreement includes joint sales and marketing initiatives between Red Hot
Connect and Ma and Pa Retailer, a privately held startup expected to put out its
first issue in the fourth quarter of 2000. It is anticipated this joint venture will

mark and are expected to top $5.4 billion in 2000 before reaching $8.1 billion in
2001. Worldwide advertising revenues for print magazines and periodicals
reached $38 billion in 1999. Many industry analysts believe on-line magazines
and revenues will surpass traditional print media in the near future.
