As I understand the current offer non-response by you means nothing happens (you keep your shares) if Jazz fails to obtain tenders for the number of shares it is aiming for (67%, or 50% if it so decides). Then it has to decide whether to extend the offer, perhaps (perhaps) on better terms. This could go on for quite some time, heaven knows how long, or whether it might drag on to your LTCG date. The danger to you would be that Jazz withdraws the offer and walks. Since the stock was already trading close to $57, the damage should be limited.
