You obviously know a lot more about the finer points of financial analysis than do most of us on the board and certainly more than me. But. . .

You state that "As you can see there is almost no downside to the buyer, (lender) and in fact there is a almost guaranteed profit of something on the order of $3 million, regardless of the eventual outcome."

This seems miss the real point of this deal by Syquest--which is that the "buyer" is a "lender" only. Although you make it clear that you regard the possibility as remote, is it not true that, regardless of how the stock may appreciate during the specified period, they can make no more than $3 million? If this is the case and much needed capitol is needed for the turnaround, why should this not be viewed as positive? We already knew they were strapped for cash to finance a turnaround: this seems like a way to make it all happen.
