Bracknell clarifies equity offering transaction

At the request of the Toronto Stock Exchange, Bracknell has clarified its
previously announced proposed equity transaction with Ontario Teachers'
Pension Plan board.
The pricing of the proposed offering of common shares to Ontario Teachers'
was priced at $2 (U.S.) per share on Sept. 19, 2001, provided that this
price will be adjusted to equal the exercise price on any rights offering
to existing shareholders. The pricing of any rights offering will be
determined by the company's board of directors. Based on current market
prices, the equity offering would result in substantially less proceeds
than previously announced. The Ontario Teachers' commitment remains subject
to a number of conditions, including registration of the shares, regulatory
and other approvals, no material adverse changes, acceptable further
amendments to the company's bank credit facilities pertaining to
rescheduling of principal debt payments, and the conversion by the holder
of the company's Series D convertible preferred shares into common shares
of Bracknell and certain other agreements with the holder. No assurance can
be given as to successful completion of the proposed transactions.
