POTASH CORPORATION OF SASKATCHEWAN INC. ANNOUNCES STATUS
OF K&S ACQUISITION

SASKATOON, Feb. 28 /CNW/ - Potash Corporation of Saskatchewan Inc.
(``PCS'') announced today that, in connection with the proposed acquisition by
PCS of 51 percent of the outstanding shares of Kali und Salz Beteiligungs AG
from a subsidiary of BASF AG, it has received from the German Federal Cartel
Office an order prohibiting the proposed transaction. German law provides a
right to appeal the order both to the Minister of Economics and to the courts.
PCS and BASF are preparing and intend to file, as soon as practicable, an
application requesting authorization from the German Minister of Economics for
the transaction to proceed.
