On September 3, 1996, we launched an internal electronic trading system called InterConnectsm. The new
system allows individual and institutional investors in the United States the opportunity to split the spread
between the bid and ask price of 30 NASDAQ stocks. Essentially, it's better than zero commission.
InterConnect's commission rates are 5 cents per share up to 2,000 shares, subject to a $33 minimum, or 3
cents per share for orders in excess of 2,000 shares.

The selected stocks, listed below, will be the most actively traded in the NASDAQ Market for the first six
months of 1996, as provided by NASDAQ Trading & Marketing Services. The benefits of InterConnect to
investors are apparent, particularly for stocks having a spread of a quarter point or more. By splitting this
quarter-point spread, you could realize savings of 12 1/2 cents per share or greater.

Here is how InterConnect works: The system matches your order with another investor's order, and the
buyer and seller each receive 1/2 the market maker's spread. Orders placed by investors, via the Internet or
by telephone, are entered on a blind basis into a proprietary central computer in our office. The computer
then matches buys and sells.

Opportunities for cross-trading would occur at regular intervals during the day, when the market opens at
6:30 a.m. (Pacific Standard Time), every hour on the hour after that at 7 a.m. (PST), 8 a.m. (PST), 9 a.m.
(PST), 10 a.m. (PST), 11 a.m. (PST) and 12 noon (PST). The last cross trade will take place when the
market closes at 1 p.m. (PST).

Any orders not crossed or remains or partial executions may be cancelled immediately, entered into the
dealer market or kept open for the next crossing session or all subsequent crossing sessions until it is filled.
We will follow your instructions as to how you would like to deal with any unfilled or partially executed
order.
