Two problems:

1) Doesn't apply to what is typically the largest payroll tax to the 'average' worker: FICA.

2) To exempt compensation from individual taxation by paying it all in dividends, the employees would have to all be paid in stock. (The stock grants themselves would not be free from taxation... only subsequent dividends paid on the stock.)

Somehow, I can't see corporate America diluting it's existing level of ownership this way... or current shareholders putting up with the dilution.
