Two days ago I got "Notice of Pendency of Class Actions" from MTC Electronic Technologies Shareholders Litigation. The defendants in the action include (1) MTC; (2) various individurals who are or were officers or directors of MTC; (3)MTC's outside auditors; (4) the underwriter of MTC's 1993 public offering and (5) the underwriter of MTC's 1991 public offering . "Plaintiffs allege, among other matters, that the defendants disseminated materially false and misleading information during Class Periods I and II (Sep. 3, 1992 through Feb. 22, 1993 and Feb. 25, 1993 through April 15, 1994) which had the result of artificially inflating the market price of MTC common stock, causing those who purchased such securities during the Class Periods I and II to make such purchases at inflated prices. All defendants have generally denied all allegations of wrongdoing and denied any liability to the plaintiffs and both the plaintiff classes." It is clear that the new magagements are not involved in this action. But since GTTIF comes from MTC, the company is in the action. Since I don't think that we, the long time share holders, could get big compensation, I believe that the lawsuits would not hurt the company too much. Hope that this could help.
