Revisiting the 1.5 PALM to 1 COMS ratio.

I took a look at the most recent 3Com 10Q. Per it, 3COM has 990 million shares authorized! That gives them well over 500 million shares on the shelf that they can use to bid for other companies. They don't need shareholder approval to create the shares because the shares are already there.

But do they need shareholder approval to buy another company? I don't know the answer. Shareholder approval by the company being acquired wouldn't be relevant if it's a private company.

Anybody know if shareholder approval is needed for a purchase, or know how to find out?
