Manhattan Minerals Corp. - Resignation Of Officer

Vancouver, British Columbia - Thursday, May 24, 2001, 9:46 AM EDT

Manhattan Minerals announced the resignation of Mr. Graham Clow
as President and Chief Executive Officer and Director, effective
today. The Chairman of the Company, Mr. Robert Stone will assume
the additional position of Interim President and Chief Executive
Officer.

Mr. Stone, on behalf of the Board, expressed his appreciation for
the valued contribution Mr. Clow has made while leading the
Company during the past three years.

The Board has initiated a process of finding a new Chief
Executive Officer for the Company and as part of the process will
consider alternative arrangements for interim leadership, in
order to ensure the most effective results for the Company during
the transitional period.

Manhattan recently announced the signing of a framework agreement
that establishes a forum for dialogue between all stakeholders in
its Tambo Grande Project in northern Peru. In the past month, the
Company initiated a cost reduction plan designed to ensure that
the present resources are sufficient to sustain the Company
during the next year. The Company also recently announced that it
secured from the Government of Peru, a one-year extension of its
option agreement to May 2003.
