Aloha Kris, A minor point, but I think one worth mentioning because of the confusion regarding IPOs is as follows:
SYD talks about a PO vice IPO in their F1 statement "We will continue to seek additional capital funding. We will attempt to raise an additional $6 million in private placement financing during the fourth quarter of 1999. In addition, we will attempt to complete a substantial "public offering" during the first half of 2000. Additional capital funding will be used to hire additional marketing and development personnel, and to carry out an extensive advertising and marketing campaign for Dr. Bean."

This in my mind, at least, clarifies how this could take place since it's not in the true sense of the word an "initial" public offering since SYD is a publicly traded company already.
