=DJ Walter Hewlett -2: Will Continue To Monitor H-P >HWP

By Donna Fuscaldo Of DOW JONES NEWSWIRES

NEW YORK (Dow Jones)--Dissident Hewlett-Packard Co. (HWP) board member Walter Hewlett said Tuesday that his camp will review the court's written opinion on the lawsuit aimed at derailing the merger of Hewlett-Packard Co. and Compaq Computer Corp. (CPQ) and decide on a course of action.

In a prepared statement, Hewlett, son of one of the late co-founders and the sole board member to oppose the merger of H-P and Compaq, said "while we are disappointed with the court's decision, we are grateful that it heard this case on such an expedited timeframe."

A Delaware state court Tuesday dismissed Hewlett's lawsuit against H-P. Judge William Chandler III of the Delaware Court of Chancery ruled that the plaintiffs "failed to prove that H-P management improperly enticed or coerced Deutsche Bank into voting in favor of the merger."

In his statement Tuesday, Hewlett said regardless of his decision on the ruling, "my involvement with H-P will not end today. As Chairman of the William and Flora Hewlett Foundation and as a trustee of the William R. Hewlett Revocable Trust, I represent two major stockholders and I will continue to monitor the company's performance to ensure that it act in the best interest of all stockholders."

Officials at H-P weren't immediately available for comment.
