Yes there needs to be a PPM filed with the SEC within 15 days of selling shares. It is a Form D. For an example of one here is a link to PABN's Form D that was filed with the SEC back on March 23. Note that these forms are not maintained in the electronic database EDGAR. This one was evidently scanned and posted from documents requested from the SEC.

Note that the PPM is appended to the Form D, as some Form D filings can be exempt from filing registration statements if they qualify for exemption in the states in which the investor buys the shares. There are other requirements like the purchasers being qualified investors not buying for immediate resale, but I think these shares find their way into the market fairly easily regardless.
