The above S8 was filed Nov. 4th, 1997 to register shares for Syquests stock incentive plans. It appears that at least one of the plans was approved by the board in July of 1997, but shareholder approval was scheduled for Nov. 5th, 1997?! Why did they file to register the shares one day before the shareholder vote?

The S8 refers to a Stock Incentive Plan (5,114,019 shares) and an Employee Stock Incentive Plan (5,000,000 shares). There was no such breakdown in the recent DEF 14A. The DEF 14A only mentioned the Stock Incentive Plan. So what's the difference between the two? Furthermore, the DEF 14A...

only mentioned 4,000,000 shares allocated for the Stock Incentive Plan, yet the S8 says they registered a total of 10,114,019 shares for the two plans? What's the deal?
