13D - Schedule 13D. This SEC document is filed by holders of 5% or more of any class of a company's shares. When a person or entity first reaches the 5% ownership level, a 13D must be filed within 10 days and the intention of the investment must be stated on the form. Subsequent trades must be promptly stated on an amended 13D. If there is not a B (for buy) or S (for sale) designation, you must look at the change in total holdings to determine if the amendment shows an increase or decrease in ownership.

13G - Form 13G. Must be filed by institutional investors to state their holdings.
