That shortly after mention of the new Reg S
we experienced total liquidation of shares over here,
largely due to these combined events:

1)An unnamed Broker solicited it's Strong Buy recommendation.

2)Newly discovered Reg S information

The timing of these events further suggested the inroads for
merger are not in the best interest of the shareholder.

It appears there are connections for manipulation
in the market place at Mr. Charles' disposal. Since a single
Shareholder is unable to appreciate similar luxuries,
and you, Jack, are only one person, perhaps cash is king
with a "wait and see".

We are uninterested in holding as those in control
continue to fill and empty the CVIA shell without
demonstrating progress.

No longer holding shares,
We will wait patiently until you demonstrate yourself
as implied. Should you become badly in need of money
down the road, feel confident we will be monitoring
and are aware of great possible potential, however
your intention to realize it must be made evident.

If you would like us to participate somewhat earlier
than that, please comply to the request of these good
Shareholders now.

If you are aware this merger will not result in the
success you have implied, do not waste the shell on
behalf of yourself and your financial associates.
I'm sure the Shareholders would rather reconstruct
CVIA into a form of its own rather than have you
take their problem and its solution away.

I am pleased to see discussion in that direction
developing even as I write this letter.
