The following statement stands out to me "Remaining Compass Data Systems (a Nevada corporation) Stock Shares. Buyer covenants with sellers that, within 14 months of the effective date of this agreement, Buyer will use commercially reasonable efforts to purchase the remaining approximate 30 percent of Compass Data Systems outstanding shares."
What is "commercially reasonable"? This deal really sucks for us little guys. The 3 Js will get a minimum of $1 for each share we will be lucky to get whatever "commercially reasonable efforts" are!
And how were the total number of shares greater than 6 million without increasing the total number of authorized shares? Were there any amendments in the Nevada incorporation?
