MMI's S-1 is available, if not especially illuminating. MIL will own 80.1% of MMI when the IPO goes on 3/31/2001, then will distribute the rest to its stockholders six months later. The two have some overlap in their businesses. MIL will do some contract manufacturing for MMI, and they will do royalty-free cross-licensing for overlapping products not sold in each other's core markets. See the "Arrangements with Millipore" section starting at page 59 for the gory details.
