Hi Handshake. Gary, you're right all Medinah has to do is announce that they are in specific talks with a specific "major".

This could never happen handshake. The rules of the game are;

1) interested party signs a "standstill agreement"
2) interested party signs a "confidentiality agreement"

A confidentiality agreement between the two companies is designed to protect both companies. The confidentiality agreement allows the pursuing company to look over all/most of the collected data (drill samples/grab samples/trenching/IP/geophysical info)and walk and sample the properties. The pursuing company is obligated not to release any of this data to anybody". In turn the pursued company agrees to keep confidential that the other company is interested in the property.

The standstill agreement is used to prevent the pursuing company from "acting unfairly" in pursuit of the other company based on what they have learned under the confidentiality agreement. What this does is prevent the pursuing company from using the information it aquired while walking the property from starting a "hostile" takeover.

In both cases the pursuer and pursee are bound by these agreements!
