November 9, 2005 Newell Rubbermaid, Inc. 10b Glenlake Parkway Atlanta, GA 30328 Re: Class II Directors Continuing in Office— Term Expiring in 2007 Dear William; Enclosed you’ll find confirmation of a pending SEC investigation into material misstatements filed in proxies for the year 1992 and 1993. These material misstatements cost a financial institution $3,401,000.00 (see Cook County Chancery Court Case No: 1997-CH-03855 The Northern Trust vs. Daniel C. Ferguson et. al). The board needs to address this issue with Alan P. Newell and find a replacement for him no latter then when his term expires in 2007 if not immediately. (He is the only director left that was a member of the board when it approved filing the proxies during the early 90’s).
