It is not their business, it is our business. They may not care if I sell, but they should care if everyone like me sells and the price goes down. I don't know who owns how many shares and the managers, officers, and directors may well own enough shares to ignore everyone else.

The point is that the directors are elected by the stockholders. Directors hire the officer/managers. If the stockholders are unhappy, than whoever decides to ignore them, even to "spend that award on their business" does that at risk of their jobs.

That's the theory at least.
