Hang in there Dwight -- you're on solid ground on this one. It's pretty simple: Owners (shareholders) elect (hire) the Board of Directors. The Board hires and can fire top management. (Remember Ross Johnson?) And so on down the line.

That's what proxy fights are all about -- winning over the hearts, minds, and votes of shareholders to put a Board in place.

Companies have many "stakeholders" (employees, customers, suppliers, contractors, lenders, and shareholders). But stockholders are at the top of the ladder because as you pointed out, they provide the capital and take the financial risk of investing in the company.
