Executive Summary
AccessTel, Inc. (“Company”) was founded in February, 1999, for the purpose of providing Voice over Internet Protocol (VoIP) international telephony and Wireless Local Loop (WLL) solutions to underdeveloped nations, primarily in Far East countries. The Company also intends to develop 3G Wireless Global Roaming Technologies.
The decision of several Far East nations to join the World Trade Organization has required them to open their telecommunications markets to competition, creating a window of opportunity for AccessTel to establish a significant presence in the VoIP and WLL communications industries. AccessTel’s management is prepared to seize that opportunity utilizing their vast telecommunications experience, technology and influence in China and Taiwan. Dr. William C.Y. Lee, Founding Shareholder and Chief Technology Advisor to the Board of AccessTel Inc is currently Chief Technology Officer for Airtouch Communications, recently acquired by Vodaphone. He has over thirty-five years of wireless telecommunications experience and is a member of several wireless standards committees in the U.S. and Asia. Dr. Lee is the author of multiple books regarding wireless technologies, particularly CDMA, TDMA, GSM, DSS1800, PCS, and CDPD. He was Chairman of the Third Generation World Wireless Conference hosted in New Orleans earlier this year. Dr. Lee will continue to advise the Company on a consultant basis and will provide AccessTel with its’ strategic direction. Dr. Lee will assist with the establishment and direction of a 3G Wireless Lab for the Company in 2001.
Lawrence Liang, Founding Shareholder, President and CEO, has over thirty years of seasoned management experience in high tech companies such as IBM, Genoa Systems and Cogito Systems. From 1995 until present, he was president of Telecom Marketing, a consulting Company assisting Silicon Valley hi-tech companies in the development of marketing strategies and sales channels. His other successes include the development of SuperEGA, SuperVGA and Flicker Free Super VGA graphics controllers.
Stuart Bockler, Founding Shareholder and CFO, is recognized as one of the “Top Technology Analysts on Wall Street”. He has commented and reported investment analysis of over one thousand companies in print and has been a Guest Analyst on over two hundred shows of CNN, CNBC and Bloomberg TV. He is President of International Market Advisors which deploys information to Nelsons Institutional Research Catalog, Bloomberg, First Call and Multex Institutional Research and is a staff writer for The Internet Analyst. Mr. Bockler has recently covered China.com, Razorfish, Teleglobe, AOL and Lycos.
Through AccessTel Inc.'s pending acquisition of STS Communications, Inc. in Hayward, Ca. a CLEC and licensed 1010653 telecom provider of retail calls. Mr. Oran T. Chang, President of STS Communications, Inc. has agreed to join AccessTel Inc. as Vice President, Voice over IP Telephony Division after the acquisition closes. STS Communications, Inc. maintains a Harris switch and Nuera compression equipment at their offices with international call capacity for up to 30 million minutes per month.
Oran T. Chang, President of STS Communications, Inc. has initiated a joint venture to promote the 10-10-653 number nationwide. STS has installed two international private lines from San Francisco, U.S.A. to China and a DS3 local loop between Hayward - San Francisco -Wilshire Bld, Los Angeles Ca. on the West Coast Fiber Optic Network. Mr. Chang is a graduate of Syracuse University and brings an in-depth knowledge of IP Telephony, Satellite Technology and special relationships with Chinese Telecom Companies as well as local government officials in China.
Arthur Zheng Vice President - Director (1997 - Present), Well Communications, Inc. Mountain View Ca. joins AccessTel Inc., as Managing Director, China Operations. Arthur Zheng has successfully negotiated Joint Venture Alliances with local Chinese Telecommunication companies with the appropriate Licenses and Permits from the Central, Provincial and Local Governments of China to deploy wireless local loop technology in three cities in China. From 1993-1997 Mr. Zheng was President of Primax International Group of Los Altos, Ca. an International trading company for Computer and Technology solutions for International Communications. From 1985 - 1993 Mr. Zheng was President of China Computer Trading Corp. Russian Branch an exporter of computer and telecommunications technology to Russia from China. Arthur Zheng Graduated from Beijing QingHua University with a degree in Electrical and Industrial Design. Well Communications, Inc. has signed Telecommunications services agreements with iBasis (Recent IPO $24-$94.25), MCI WorldCom, Innosys Communications Inc. and Swisscom North America.
STRATEGY
VoIP:
AccessTel has completed the acquisition of the Joint Venture agreements with China and has signed a Memorandum of Understanding to acquire Well Communications, Inc. (USA). Upon completion of the Well Communications, Inc. (USA) acquisition, the combined assets of AccessTel will be over $4 million US. AccessTel Inc. is in possession of the required telephony licenses, permits and joint venture agreements and has certified English translations from Transperfect Translations Inc. Prior to the closing of the acquisition, the Company and Well Communications, Inc. and STS Communications have agreed to share the profit of the traffic generated by AccessTel through their infrastructure. STS Communications, Inc. is a licensed Competitive Local Exchange Carrier (CLEC) that provides both wholesale and retail VoIP telephony to the Far East and is currently ramping up to a capacity of five million minutes per month. It is the intention of the Company to acquire 100% of both Well Communications, Inc. and STS Communications Inc. by July 30, 2000; this acquisition will provide the Company with it’s own infrastructure, existing traffic and about twenty management, sales and technical employees in the US and China.
Through strategic alliances, AccessTel holds the licenses and local permits from the Central Government and Municipal Governments in the three major cities of Shanghai, Chongqing and Beijing to carry and terminate voice, data, video, fax and Internet connection. The license for Hefei, the capital of Annui province is to be issued shortly. The Company's management team has negotiated full China permits and has attracted strategic alliances of a Global magnitude.
Well Communications, Inc. currently leases cable to China from San Francisco through MCI WorldComm. Well Communications, Inc. has negotiating carrier agreements with other CLECs that have Points of Presence (POPs) in the US, Europe, Russia, Latin America and other countries. These agreements will provide the Company with additional origination traffic into China. The other CLECs will link to the Wellcommunication US gateways in Los Angeles and San Francisco in order to immediately begin testing up to one million minutes per month to China. Successful testing over a thirty-day period ended in June 2000, when the Company will begin routing origination traffic through AccessTel-Wellcommunication gateways into China. AccessTel intends to lease circuits to China, thereby providing a capacity of 30 million minutes per month. Beginning in July of 2000, the Company will begin reselling to other CLECs, E1 fiber cables to China from San Francisco.
AccessWLL, Inc.
Divisional Executive Summary
AccessTel, Inc. has entered into a Joint Venture agreement with NBMetrosvyaz & Qualcommtel to deploy the wireless strategies in China. Metrosvaz was formed three years ago in close cooperation with the Ministry of Telecommunications of Russia and Svyasinvest provide CDMA Wireless Solutions in Russia. Its development was initially sponsored by Qualcomm Incorporated and the Tiller Group, through a joint venture Qualcomm Telecommunications Ltd. (Qualcommtel) and by Tass Telecom. LeapWireless International was formed in June 1998 as a subsidiary of QUALCOMM Incorporated, a provider of digital wireless communications products, technologies and services. In September 1998, QUALCOMM contributed its interest in Metrosvaz as well as several of its wireless communications businesses and ventures to Leap Wireless International (Nasdaq LWIN, $54) and distributed all of Leap's outstanding shares of common stock to QUALCOMM's stockholders as a taxable dividend.

Wireless Local Loop:
AccessTel Inc. will participate in additional international origination and termination as it begins to provide Wireless Local Loop, wideband service, in several countries in the Far East. AccessTel Inc. has negotiated contracts for the provision of WLL service in the cities of Chongqing, Beijing and Shanghai, China. Each of these areas has a population in excess of twenty million people, with a projected WLL penetration of five percent over a five-year period. AccessWLL will provide all base station facilities, co-located with AccessTel's VoIP gateways.

AccessTel has signed a Letter of Intent related to Establishing Broadband Network Systems for the Shanghai CAOHEJING High Tech POP in Shanghai China. The Shanghai CAOHEJING High Tech Development Company developed and manages this High Tech POP (Points of Presents at one Gigabyte Bandwidth), approved by the Ministry of the State in 1998 to develop a High Tech POP and promote new technology. Currently 30 Fortune 500 companies are part of more than 600 companies represented with over 1,000 Broadband access Internet users. These companies need High Speed Broadband Access Solutions. The Government of Shanghai approved this high-tech POP to provide Experimental and Commercial Solutions for Broadband IP Technology.
AccessTel Inc will construct the Wireless Network in the AccessWLL division in Joint Venture with QualcommTel. The Shanghai CAOHEJING High Tech Development will provide all Permits and License and coordinate all Government Policy and Service contracts to operate at 450 MHz, 800-900 MHz, 1900 MHz, 2.4-3.7GHz (MMDS & LMDS) for High Speed Broadband Data, ISP, Voice, Video and Fax. AccessTel & the Shanghai CAOHEJING recognize the need to improve the communication capability of this High Tech POP.both mutually agree to build a "Wireless and Wired Broadband Network."
The installation and testing of WLL telephony to the surrounding provinces of Shanghai will begin in Oct 2000, with full deployment in December 2000. Commercialization of the provinces surrounding Shanghai is scheduled for March 2001 with deployment scheduled for July 2000. Joint ventures will be formed with Strategic partners, AccessWLL Inc. will provide all WLL hardware and the installation at base station facilities, co-located with AccessTel's VoIP gateways; end user marketing and installation will be the responsibility of the local partner and existing telephone Company.
In addition, through a Letter of Intent of Cooperation regarding Wireless Meter Reading Systems has been consumated between AccessTel Inc. & Shanghai Fangyuan Network Technology Co., Ltd.
In accordance with the power network-rebuilding plan of China National Power Corporation, the cooperation among Shanghai Fangyuan Network Technology Co., Ltd. and its subsidiaries, East China Power Company, Tianjin Municipal Power Company and Chongqing Municipal Power Company, etc. with regard to the centralized remote meter-reading system project has entered the technical demonstration phase.
FINANCIAL SUMMARY
In the year 2000, AccessTel's VoIP Gateways Division expects to achieve revenues of $5.5 million with earnings of $1.2 million. Projected revenues for 2001 for VoIP and wireless divisions are $38 million and an earnings of $11 million. In addition AccessTel's Utility Monitoring Division could potentially contribute additional overall revenue of over $30 million with estimated earnings of over $8 million for year 2001.

The Company is closing on a Private Placement up to $10,000,000.00 structured as an equity investment of 5,000,000 shares at $2.00 per share with a $5.00 Warrant.
The Company is seeking a reverse merger into a public trading Company for second quarter 2000. The Company currently has authorized 10,000,000 shares of Common Stock of which 6 million shares have been granted; AccessTel has 10,000,000 shares of non-voting Preferred Stock authorized with none outstanding. |
