Nasdaq previously notified the Company by letter dated February 3, 1999, that it was not in compliance with the requirements for continued listing on the Nasdaq National Market(R) under
Maintenance Standard 1. Nasdaq provided the Company an initial deadline of February 17, 1999 to correct the non- compliance; otherwise, Nasdaq stated that the Company's common
stock would be delisted from the Nasdaq National Market. Pursuant to Nasdaq procedures, the Company requested, and has been granted, a hearing to consider the listing issue. Any action to delist the Company's common stock based on a March 12, 1999 letter from Nasdaq
has been stayed until after the hearing. If the decision is made by Nasdaq to delist the stock from its National Market System, the Company expects that the stock will move to trade on the
Nasdaq Smallcap Market System. >>
