PowerTel( ptusa ) makes acquisition

SANTA BARBARA, Calif., Jan 30 (Reuter) - PowerTel USA Inc said it signed a binding letter of
intent to acquire various shares and assets from Theme Publishing and Communications Group for
$4.0 million in cash, common stock and preferred shares.

Revenues for Theme were about $10.7 million for 1996 with net profit in the six percent range.

It also said it set a one-for-six reverse split of its class A common stock, effective January 31.
