EMAIL RESPONSE PRT 1.... Please see between the lines.
-Tony Frudakis, Ph.D. Chief Scientific Officer DNAPrint genomics 1748 Independence Blvd., Ste. D1 Sarasota, FL 34234 (941) 351-4543 (941) 351-7388 dnaprint@home.com (home) dnaprint@gte.net (work) www.dnaprint.com-
Dear Dr. Frudakis,
I have invested a small amount of money in what appears to be a very promising company that you head. However, before I invest significant amounts of money into your corporation I must be convinced that your company is not simply a scam. Please understand that I am investing my hard earned money for the future of my children. There are many investment scams which have unfortunately been very pervasive throughout the internet.
You are definitely correct here...
Also, if I look at your company with additional scempticism, please understand that you have been aquired by a pink sheet company one that has not followed SEC reporting guidelines.
It sounds like you should wait until the company has become fully reporting. You would be more comfortable then. We are brand new and we are working on it.
The questions submitted are not meant to offend but rather to strengthen my belief in your company and its future. I truly appreciate your anticipated response to these questions as I believe that the blueprints for a successful company are in place, however, this must be proved to me before I continue to invest and spread the word. Again, thank you very much and good luck to you and your family.
If you could, please provide infromation concerning the following:
-1.I have had difficulty in verifying your patent portfolio. Could you please provide documentation or a link.
Provisional patent application no 60/171,688
-2.Are these actual patents or are they pending patents?
With chemical formulations it is best to keep them pending as long as possible. Once patented others can add something or change something based on your "patented" idea because it becomes public domain. We will keep it provisional as long as the deadline allows.
-3.The only journal title that I was able to find was...Strongylocentrotus purpuratus spicule matrix SM30-alpha protein (SM30) gene, 5'-flanking region by:Akasaka,K., Frudakis,T.N., Killian,C.E., George,N.C., Yamasu,K.,Khaner,O. and Wilt,F.H.. Are there more that I just cannot find? If so could you kindly provide info or link.
There are more. It seems that you did not find even my main thesis paper. My previous employer did not allow journal publication at all, which is not uncommon in biotech. As a result I have about 7 papers I have already written, based on the various patent applications listed on the web page and waiting to be submitted. Date of publication for these works is out of my control entirely, and as for now you are going to have to read the patents I have published which are public domain. As for others here, you did not seem to find the references provided for Myung Ho Kim or Venkateswarlu Kondragunta listed on the web page, who were fortunate enough to have worked previously in an academic setting where publication is allowed. If you cannot find these works, you are not looking properly.
-4.Why have you decided to merge or be aquired by Pink Sheet stocks?
Stock is a form of currency. It helps you grow by aquisition. Rather than wait 2 to 3 years to go public via IPO, we reverse merged and now have a liquid currency. We go to OTCBB later this year, and to Nasdaq when we are qualified, just like any other company.
-5.Why did you decide to forego a merger with QCL Group, Inc. and rather decided upon Catalyst Communications Inc. In the news release dated .--(BUSINESS WIRE)--Feb. 16, 2000-..."QCL Group, Inc.has reviewed certain documents that GAFF biologic supplied but was unable to complete proper due diligence at this time. GAFF biologic was unable to continue discussions through the completion of QCL Group, Inc.'s extensive due diligence process due to capital requirements to carry out their business plan and both parties agreed to move forward separately and to leave the future open for possible business dealings." COULD YOU PLEASE CLARIFY THIS STATEMENT.
This one should be obvious. They didnt have the money.
-6.what financing or stock issuance would be needed to pay for the purchase of your company. The recent news release provided no additional data or information.
Call Tampa Bay Financial if you want the financial details. I am not sure they will give them to you but I certainly cannot.
-7.Do you have any proof that Form 10SB has been filed. I have been checking the SEC site daily with no luck.
Again, call Tampa Bay Financial for this information.
-8.It is one thing for a company to come up with an idea. . .it is CLEARLY another for same company to figure out a way to successfully market that product or service. What is your buisness plan.
I do not have the time to write this out. Please feel free to call me and I will explain it to you. Stated concisely, we will place hardware and software systems in personalized medical settings of the future. We will allow these customers to access our knowledge base of pharmacogenomics "solutions" for various drug interaction problems, via an ASP model. Each time a patient's SNP profile is passed through our server, we will be paid. We will also conduct disease association studies with larger pharma partners and participate in the downstream potential of having identified novel disease pathway determinants.
-9.I also understand that your..." company has strategic alliances with independent scientists at the University of Hawaii, and in Florida and is negotiating product license agreements with several major biotech companies." This is from the Jan. 10, 2000--QCL Group, Inc. release. Please provide infromation.
You can read about our relationships as they are announced. Until then that is all I am willing to say.
-10.Could you please provide evidence as to... "The company has written an NIH grant focusing on funding the further development of this software." I am having difficulty in finding this info on the NIH grant site. Please provide link and date of filing.
I can send you a copy of this grant if you like. The NIH grant site does not list applications. It lists funded grants only.
-11.Great article titled Potential profits in DNA Potential profits newscoast.com. Have you been featured in any other articles that you know of.
Several new ones are coming.
-12.A article states that you have signed an agreement with venture capital firm Tampa Bay Financial, guaranteeing the company $1 million in startup funding and possibly millions more depending on performance. could you release any info as to the details of this agreement. Is Tampa Bay Financial listed under another name? I am having trouble finding it.
If you cannot locate their number call me and I will give it to you. They are in our local phone book.
-13.Have you hired the mathematician that you were looking for.
We have one more opening to fill right now.
-14.I will be in town within the next few weeks would it be ok if i visited. Please provide directions to the company headquarters, so can I report back to your thread on raging bull.
From I-75 take the university exit, drive 3-4 miles untl you reach highway 301, take a left and drive about 1 mile until you reach Northgate Center with a McDonalds at the corner. Take a right and then a left on Independence Blvd. and then immediate left, then follow the signs to suite D1.
-More questions will be submitted as they arise. Thank-you. |
