Is this a good deal for Ballard shareholders?

Of course, this is a historic event for Ballard and a great statement of confidence for PEM fuel cell technology.

But as I read the deal, Ballard's shares will be diluted by 33% and on top of that, Ballard gets to own only 33% of the new engine company.

This investment by D-B is probably required for Ballard to make a real go of it, but is this a fair deal for current shareholders?
