Hayes And Microcom Announce Strategic Partnership

Collaboration Targets Next-Generation Technology Development and
Marketing for Remote Access and Data Communications Products

ATLANTA and NORWOOD, Mass., April 7 /PRNewswire/ -- Communications industry pioneers
Hayes Microcomputer Products, Inc. and Microcom(R), Inc. (Nasdaq: MNPI) today announced a
comprehensive technology collaboration to enhance and expand a full range of data communications
and remote access products. Hayes and Microcom, both renowned for innovative modem
technology, remote access solutions, and client-side communications, will join forces to develop
complete end-to-end communications solutions drawing from the technology in Microcom's
ISPorte(TM) chassis with T1/E1/PRI capabilities, and from Hayes' client and server remote access
products.

According to the terms of the partnership, the two manufacturers will exploit product development,
product branding, and co-marketing opportunities. The alliance will also enable both companies to
further penetrate their national and international sales channels with existing remote access products
and next-generation remote access server (RAS) technology.

In addition, the two companies, both active members of the Open56K Forum, will begin joint 56
Kbps modem trials early this quarter. The Open56K Forum is an organization working to create a
56K modem standard whose members represent more than 70 percent of the modem
communications industry, reaching more than 12 million Internet subscribers worldwide.
