Intersil to Buy Chip-Maker Elantec for $1.24 Billion (Update8)

Irvine, California, March 11 (Bloomberg) -- Intersil Corp., a maker of chips for wireless networks and personal computers, agreed to pay $1.24 billion for Elantec Semiconductor Inc. to increase its product offerings as customers seek to buy gear from fewer suppliers.

The company is paying 1.24 of its shares and $8 for each Elantec share. That values Elantec at $46.65 a share, 13 percent higher than Elantec's closing price. Intersil shares fell 15 percent on concern the company is overpaying, SG Cowen Securities analyst Drew Peck said.

Buying the maker of chips for digital-video discs and CD-ROM drives will help Intersil sell more products to Cisco Systems Inc. and Sony Corp., Chief Executive Officer Gregory Williams said in an interview. Customers of both companies want to trim costs by buying from fewer suppliers, he said. Intersil also raised its first- quarter sales and profit forecasts.
