SUNRIDGE PROCEEDING WITH PRIVATE PLACEMENT
Sunridge Gold is proceeding with a brokered private placement financing of
up to $4-million. The private placement, which is subject to regulatory
approval, will consist of up to four million units at a price of $1.00 per
unit. Each unit will consist of one common share and one-half common share
purchase warrant. Each whole warrant will be exercisable for the purchase
of one common share for two years from the date of closing at a price of
$1.75 for the first year and $2.00 per share for the second year.
The company will pay an agents' fee of 7.5-per-cent cash on the gross
proceeds of the offering in a combination of cash and units, with the
apportionment at the election of the agent, such election to be made prior
to closing. The agents have an option, exerciseable at any time up to
closing, to increase the size of the offering by 10 per cent.
Proceeds of the placement will be used toward financing exploration on the
Asmara project, Eritrea and general corporate purposes.
