Will watch for an over reaction to the downside... maybe play a bounce going up.

The company disclosed the letter in its 10-Q quarterly report filed with the SEC. Pre-Paid said it will appeal the position of the SEC's Division of Corporate Finance to the agency's Office of Chief Accountant.

``There is significant risk'' that the appeal will fail, the company said. That ``could have material adverse effect on the company's financial condition and results of operations.''
