So far, from the proxy only, I agree with your interpretation that 16mil. share dilution is imminent. 10k could change my mind yet. <g>

I still think the most likely use of new shares is for acquisitions,
I've been expecting something in that area since I noticed that they don't seem to be spending too much on internal R&D.

The shareholders will go along with management as long as the share price goes up. when it stops going up, then they'll question the blanket authority given to management.
