(Hong Kong, December 16, 1999) -- Hong Kong-listed Pacific Century CyberWorks
Limited ("PCCW", Bloomberg:1186; Reuters:1186.HK) and Hong Kong-based NetCel
Holdings Ltd. ("NetCel") have agreed to form a 50/50 joint venture company,
Total e-commerce Limited ("Total e-comm") (totalecom.com), ") to provide a
comprehensive range of business-to-business (B2B) e-commerce services and
which will acquire, develop and manage and operate a network of
business-to-business ("B2B")B2B e-commerce companies. The agreement follows
Tuesday's (December 14) announcement of a strategic partnership between
Pacific Convergence Corporation, PCCW's broadband Internet service
subsidiary, with Trans World International, the programming arm of
International Management Group. Pacific Convergence Corporation will be the
world's largest sports content provider.

Total e-comm is being positioned to become the leader in the region's
burgeoning e-commerce market, with B2B e-commerce alone projected to grow in
value from approximately US$3.4 billion in 1998 to approximately US$99
billion in 2003. To enable B2B E-Commerce to flourish in Asia Pacific,
companies must face the challenges of infrastructure limitations, cross
border communications, and a range of regional complexities including
disparate customs arrangements, currencies and languages. The lack of
e-commerce outsourcing solutions functioning across multiple markets in
Asia-Pacific also represents a major bottleneck to Internet growth ­V Total
E-Comm will directly serve this need, accelerating the B2B

e-commerce strategies of companies around the region.

Lets all of us look at this one. It traded 34 million shares today.... I want some at 2 1/4 just to hang on to.
