Hi Glenn, you asked about an 'S-3 on EDGAR',

An S-3 is an EDGAR filing, from an existing public company, stating that they intend to issue a certain number of shares, this is also known simply as a 'secondary registration' or just 'registration' for short. Sometimes companies do a 'shelf registration' which allows them to issue a certain number of shares in the future when the price of the stock is higher.

Previously, someone had earlier referred to a '144' filing - which is a notice that an insider intends to sell a specified number of shares.

Here is a good site to peruse (many of) these arcane SEC/EDGAR forms:

It looks like the shares are getting some buying at these bargain levels.
