Ken,

The merger is a fixed stock ratio of 0.6 Nortel shares for 1 share Bay, regardless of either's stock price. As for being "in the bag," I think the last hurdle is Bay shareholder approval, to be voted on at the special stockholder's meeting scheduled for August 28th I believe.
