PRIVATE PLACEMENT PRICED @ $1.25 -- WHY WOULD YOU PAY $11.00??

I'm hearing the $10 million private placement to keep this company afloat was priced at $1.25/share -- that's 8 million shares of dilution, folks. Why would you be silly enough to pay $11.00?
