Custom Branded Networks (CBNK) is a leader in providing 100% turnkey
Private Label Internet Services, focusing on three core business models -

On August 14, 2001, CBNK announced that it had reached an agreement to
acquire UsefulWare, Inc., a leading provider of signup software for ISP's.
The deal was made for an undisclosed sum of cash and stock. Under the
agreement, UsefulWare will continue to operate as a separate business
unit and wholly owned subsidiary of CBNK. Driven by the needs of ISPs,
and other Internet businesses, UsefulWare offers a full line of products
and services for making the experience of new Internet users an easy and
productive one. As a business-to-business (B2B) supplier, UsefulWare
works behind the scenes with some of the largest and most well known
names in the Internet business world including AOL and AT&T. UsefulWare
complements CBNK's software with a full line of back office services.
The Company has been in business for 5 years, is debt free and in its
last fiscal year had revenues in excess of $1.4 Million and approximately
300 active customers representing 900,000 ISP subscribers.

CBNK has established a strategic alliance with One4Luck to develop a direct
response sales program. One4Luck will work with CBNK to produce and air
a 30 minute infomercial offering the Company's custom brandable ISP
services in conjunction with other Internet services including on-line
brokerage, banking and other financial services. One4Luck has had
tremendous success with its "Teach Me To Trade" infomercial with has
sold over 50,000 units since airing in the fall of 2000.

Through these core business units, CBNK anticipates revenue in excess
$3 Million. Additional acquisitions are currently being negotiated and the
Company intends to continue an aggressive growth strategy.
