The Company should file an 8-K with full terms (see post #7342). However, if the conversion dates include this week, we would expect a filing (S-2 or S-3?), prior to selling the debentures. The terms of the placement appear to be highly unusual. My points were:

1) Full Disclosure needs to be made PRIOR to registration of the stock.
2) The transaction cannot be "no risk" to the new investors.

This will be interesting reading.
