The one thing I have learned is the distressed company must have an 'EXIT' strategy. You must have a management that can make the changes to right side the company. That's why I like either (1) an activist investor forcing the change, (2) Private Equity w/ a big bet in the game and/or (3) Director's, BOD and managers motivated to make the changes.

So you want to see the insiders buying (not selling). The key is the 'Exit' strategy. That is why I follow Carl Icahn in many of his deals.
