Edgar On-Line shows an S-3 Filing yesterday. DOES ANYONE HAVE EDGAR ON-LINE? FreeEdgar is down right now.

I'm not concerned about the filing, but I'd like to know the details.

Excalibur Technologies Announces Form S-3 Filing

Excalibur Technologies Corporation (NASDAQ:EXCA), today announced that it has filed a Form S-3 registration statement, in accordance with the Securities Act of 1933, relating to the registration of 920,478 shares of Common Stock for the benefit of certain selling shareholders.

In July 1995, Excalibur acquired Conquest Software Inc., a private company located in Columbia Maryland, through the issuance of restricted shares, and options to purchase restricted shares of Excalibur common stock, in exchange for all of the outstanding common stock and stock options of Conquest. This Registration Statement registers the Common Stock issuable upon the exercise of stock options by the former Conquest option-holders pursuant to the requirements of the merger agreement, Common Stock held by certain former shareholders of Conquest, and Common Stock recently sold by one of Conquest's founders to an institutional purchaser. These shares may be sold from time to time by the selling shareholders in the over-the-counter market at the then prevailing market prices or in privately negotiated transactions.

It's posible that someone was spooked by the recent turmoil in the markets and wants to execute their option rights. Who's the person and what's the amount of shares and price?

I view this as a short term issue.
