Everyone knows VSGN was shopping themselves around for a while.
Sippl understands that his technology is very valuable to the
right company. It was just better business to get absorbed and
incorporate his excellent middleware into a company that already
has a good tools development effort. It would just be too expensive
for VSGN to do this themselves. I would ask Sam of AOL how he would
feel if VSGN was snapped up by a competitor ? How would that help
Del's turnaround. VSGN has 170 total employees, BORL has more coders
than that. VSGN has no debt. VSGN lined up all the big boys to sign
on to the NEW technology. JBuilder is done ! All BORL has to do is
trick-up some more fancy tools and every big $$ IT shop will be
beating down the door for the goods. Is Sam is so concerned with the
reaction in BORL share price (I would be too if I were long 10000)
don't nix the deal think long term. Additionally BORL has 90 MM in
CASH in the bank. If Del wanted to, he could have made a cash offer,
or he could have bought back BORL shares and had the inventory for
a stock swap w/o re-issue.

I think the team of Del and Sippl, who will be the Chief technology
officer (no small position), will be a force to be reckoned with.
These guys know what they are doing.
I still believe BORL is getting the better end of the deal.
