7a-Background. On April 5, 1999, Liberty Media and a publicly traded company, TCI Music (TUNE), announced an agreement under which Liberty
Media would merge all of its interactive and Internet investments,as well as its rights to provide interactive services on AT&T's cable systems (which is
discussed in great detail earlier in this report, into TCI Music, and the company would be renamed Liberty Digital. This would be in exchange for the
equivalent of about 135 million shares of TCI Music (now Liberty Digital stock).

7b-A Mini-Me to Liberty's Dr. Evil. With this transaction (for which a definitive agreement was signed on July 12), Liberty had created a publicly traded
home for all its Internet and interactive investments, and in that sense, a supercharged Liberty Mini-Me to Liberty Media's Dr. Evil.
